1. Introduction
These Terms & Conditions ("Terms") govern your use of services provided by GSR CORP LTD ("we", "us", "our"), including all services offered under GSR Growth (business development, marketing, consultancy), GSR Hub (ecommerce fulfilment and logistics), and GSR Labs (3D printing, prototyping, and production services). By engaging our services or using our websites, you agree to these Terms.

3. Services
We provide a range of business services including business development and consultancy, ecommerce fulfilment and logistics, and 3D printing, prototyping, and manufacturing. All services are provided subject to availability and agreement of scope.
4. Service Agreements
Specific services may be governed by separate written agreements, proposals, or statements of work (SOW). In the event of any conflict, the specific agreement will take precedence over these Terms.
5. Pricing & Payment
Prices are quoted in GBP unless stated otherwise. Payment terms will be outlined in invoices or agreements. We reserve the right to require upfront payment. Late payments may incur interest and/or suspension of services. We may use third-party payment providers.
6. Client Responsibilities
You agree to provide accurate and complete information, respond promptly to communications, ensure you have rights to any materials provided to us, and comply with all applicable laws and regulations. We are not responsible for delays caused by client inaction.
7. Fulfilment & Logistics (GSR Hub)
You are responsible for providing accurate product information. We are not liable for delays caused by couriers or logistics providers. Storage and handling fees may apply. Claims for lost or damaged goods must be made within a reasonable timeframe.
8. Manufacturing & Production (GSR Labs)
You are responsible for verifying design suitability. Minor variations in materials and finish may occur. Custom manufacturing is non-refundable once production begins. We are not liable for misuse of produced items.
9. Consultancy & Marketing Services (GSR Growth)
Services are provided based on expertise and best practice. We do not guarantee specific results.
10. Intellectual Property
Pre-existing IP remains with its owner. Deliverables remain our property unless agreed otherwise. Usage rights may be granted upon full payment.
11. Confidentiality
Both parties agree to keep confidential any sensitive information shared.
12. Limitation of Liability
We are not liable for indirect or consequential losses. Total liability shall not exceed the amount paid for the service. Nothing excludes liability for death or personal injury, or fraud.
13. Indemnity
You agree to indemnify us against claims arising from misuse, breach, or infringement.
14. Termination
We may suspend or terminate services if Terms are breached. Outstanding payments become immediately due upon termination.
15. Force Majeure
We are not liable for delays caused by events beyond our control.
16. Data Protection
We process data in accordance with applicable UK data protection laws.
17. Third-Party Services
We are not responsible for third-party providers.
18. Changes
We may update these Terms at any time.
19. Governing Law
These Terms are governed by the laws of England and Wales.
